CAMPUSLOGIC, INC. CONTENT AND PUBLICITY RELEASE POLICY

This Release Agreement (the “Release”) contains the complete terms and conditions that apply to my participation in any CampusLogic, Inc. (“CampusLogic”) student testimonial activity (each, a “RaiseMe Testimonial”) for RaiseMe, which is owned and operated by CampusLogic.

As used in this Release, “I” “my” or “me” is a reference to me, [STUDENT OR EDUCATOR NAME]. In consideration for being allowed to participate in one or more RaiseMe Testimonials, for CampusLogic and or its agents, consultants, or employees interviewing, recording, photographing and/or filming me, for CampusLogic considering any interviews, comments, recordings, photographs, and/or films I have provided or may provide to CampusLogic or any interviews, presentations, speeches performances or the like I make in connection with any RaiseMe Testimonial or any other multimedia, promotion or other projects of or authorized by CampusLogic (all the foregoing, collectively, “Submissions”)) (which constitutes full and complete consideration to me, and I understand that no additional consideration is payable to me for my agreements, releases and grants hereunder) and contemplating CampusLogic’s possible use of all or part of any such Submissions, my name and/or likeness, I hereby agree as follows:

Notwithstanding any rights of publicity, privacy, intellectual property or otherwise (whether or not statutory) anywhere in the world, CampusLogic (and its agents, consultants, service providers and employees) may (and is hereby authorized to):

(i) interview, photograph, record, tape, film and otherwise visually and audiovisually record me and my voice,
(ii) use and freely exploit any of the foregoing, as well as my name, voice, biography, likeness, other personal identification and Submissions (including all intellectual property rights pertaining thereto) in any medium without any restriction as to modifications, changes or alterations (including but not limited to, composite or derivative works of any of the foregoing made in any medium) for advertising, trade, marketing, promotion, exhibition or any lawful purpose.

I waive any right to inspect or approve any preliminary, intermediary or finished version(s) of the results of any of the foregoing (“Results”). I release CampusLogic, its employees, agents, licensees and assigns and all entities associated with CampusLogic and agree not to sue or bring any proceeding against any of the same for, any claim or cause of action, whether known or unknown, based on the Results or works derived therefrom, including claims for defamation, invasion of privacy, publicity or personality, intellectual property infringement or any similar matter. I have full power and authority to enter into this release and to grant CampusLogic all the rights set forth herein.

I am at least eighteen (18) years of age (or I have the full consent of my parent or legal guardian) and am a registered RaiseMe user. I represent and warrant that I will give only true and accurate testimony in connection with the RaiseMe Testimonial.

I understand that this Release does not represent an obligation or commitment by CampusLogic to use my name, likeness, Submissions and/or the like. If any provision of this release shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so as to effectuate the original intent of the parties and this release shall otherwise remain in full force and effect and enforceable.

This release shall be deemed to have been made in, and shall be construed pursuant to the laws of the State of Delaware without regard to conflicts of laws provisions thereof. Both parties agree that this release is the complete and exclusive statement of the mutual understanding of the parties and supersedes all previous written and oral agreements and communications relating to the subject matter hereof and that any amendment hereto shall be effective only if made in a mutually executed writing. IN WITNESS WHEREOF, the parties have executed this Release on [TODAY’S DATE].
